1.1 By creating an account, accepting these Terms electronically, or using the Service, you agree to be bound by these Terms, our Privacy Policy (hisabkitab.co/privacy-policy), our Refund Policy (hisabkitab.co/refund-policy) and our Cancellation Policy (hisabkitab.co/cancellation-policy), which form part of these Terms.

1.2 If you accept these Terms on behalf of a business or other entity, you confirm that you have authority to bind that entity, and "you" refers to that entity.

1.3 The Service is meant for business use. It is not intended for personal, family or household use, and you must be at least 18 years old to use it.

1.4 We may update these Terms from time to time. We will notify you of material changes by email or in the app at least 15 days before they take effect. Continued use of the Service after that date means you accept the updated Terms. If you do not agree, you may stop using the Service before the change takes effect.

3.2 The Subscriber decides who may be an Invited User and what access each one has, and can change or remove that access at any time. The Subscriber is responsible for everything its Invited Users do in the Service.

3.3 You must keep your login details confidential and tell us immediately at contact@hisabkitab.co if you suspect unauthorised access to your account.

4.4 Any discount or special price is given on the conditions stated when it is offered. If those conditions are not met, we may charge the standard price for the next Subscription Term.

4.5 We may change our prices. A price change will not affect a Subscription Term you have already paid for, and we will tell you about it before your next renewal.

SECTION 5 - FREE PLAN AND TRIALS

5.1 We may offer a free plan or a free trial. Its features, limits and length are as described on our website or in the app when you sign up, and we may change or end a free plan or trial with reasonable notice.

5.2 A free plan or trial does not oblige you to buy a paid plan. If a trial ends and you do not move to a paid plan, section 10 applies to your Data.

SECTION 6 - RENEWAL

6.1 Before your Subscription Term ends, we will send renewal reminders to the email address and, where available, the WhatsApp number on your account.

6.2 Renewal is manual. Your subscription renews for a further term only when you pay the renewal invoice. We do not charge your card or bank account automatically.

6.3 If you do not renew, your access to the Service ends at the end of the Subscription Term and section 10 applies to your Data.

SECTION 7 - CANCELLATION AND REFUNDS

7.1 First-time subscriptions. If you buy a hisabkitab subscription for the first time, you may cancel it and request a refund within 7 days of the purchase date. Requests must be sent through our official support channels: contact@hisabkitab.co or +91 72858 71111.

7.2 Processing. Approved refunds are credited to the original payment method within 7 to 10 working days of approval. Taxes and payment gateway charges are not refunded.

7.3 After 7 days. Cancellation or refund requests received more than 7 days after purchase are not accepted. Your subscription continues until the end of the Subscription Term you paid for, and you keep access to the Service during that term.

7.4 Renewals. The 7-day refund applies only to a first-time subscription. Renewal payments are not refundable.

7.5 We review every cancellation and refund request and may refuse one that does not meet this section, or where there is evidence of misuse of the Service or the refund process.

7.6 This section summarises our Refund Policy and Cancellation Policy published on hisabkitab.co. The three documents are intended to say the same thing.

SECTION 8 - ACCEPTABLE USE

8.1 You must use the Service only for lawful business purposes and in line with these Terms.

8.2 You must not: try to gain unauthorised access to the Service, other accounts or our systems, or test, probe or break our security; upload malicious code, or content that is unlawful, infringing, defamatory or obscene; copy, modify, reverse engineer or resell the Service, except as the law expressly allows; use the Service to send spam or unsolicited messages, including through WhatsApp, SMS or email features; or overload the Service, including by exceeding the transaction, storage or API limits of your plan.

8.3 We may set reasonable usage limits for each plan, such as monthly transaction volumes or API calls. We will publish or notify these limits.

SECTION 9 - YOUR DATA

9.1 Ownership. You own your Data. You give us a licence to host, store, copy, process, back up and display your Data only as needed to provide, secure and support the Service.

9.2 Personal data. Where your Data includes personal data of your customers, suppliers or employees, you decide why and how that data is processed, and we process it on your behalf and on your instructions. You are responsible for having a lawful basis to give us that data. Our Privacy Policy explains how we handle personal data.

9.3 Backups. We take regular backups and follow industry practice to protect your Data. You should still export and keep your own copies of important records. To the extent the law allows, we are not liable for loss of Data that you could have avoided by keeping your own copies.

9.4 Integrations. If you connect a third-party service (for example Tally, Shopify, WooCommerce, a marketplace, a payment gateway or a messaging service), we share with that service the Data needed for the integration to work. That provider's own terms govern how it handles your Data, and we are not responsible for it.

9.5 AI features. Features such as OCR bill capture, bank statement reading and AI assistants process the Data you submit to them, and may use third-party AI service providers. AI output can contain errors. You should review it before relying on it.

9.6 Your compliance. hisabkitab is a software tool, not tax, legal or accounting advice. You remain responsible for the accuracy of your records and filings, and for keeping books of account for the period the law requires.

SECTION 10 - DATA AFTER YOUR PLAN ENDS

10.1 When a paid plan or trial ends and is not renewed, you will no longer be able to access your account or your Data.

10.2 We do not delete your Data when your plan expires. It stays stored with us, and your access is restored when you renew.

10.3 We recommend that you export your Data before your Subscription Term ends, because you will not be able to log in to export it after expiry.

10.4 You can ask us to delete your account and Data at any time by writing to contact@hisabkitab.co. We will do so unless the law requires us to keep it.

SECTION 11 - CONFIDENTIALITY

11.1 Each party will keep the other's confidential information confidential and use it only for the purposes of these Terms, unless the other party agrees in writing or the law requires disclosure.

11.2 This does not apply to information that is or becomes public without breach of these Terms, that was lawfully received from a third party, that the receiving party already had without restriction, or that it developed independently.

11.3 These obligations continue after these Terms end.

SECTION 12 - INTELLECTUAL PROPERTY

12.1 hisabkitab owns the Service, its software, design, documentation, brand, logo and trademarks. These Terms do not transfer any of these rights to you.

12.2 If you send us feedback or suggestions, we may use them without any obligation to you.

SECTION 13 - AVAILABILITY AND SUPPORT

13.1 We aim to keep the Service available 24 hours a day, 7 days a week. Planned maintenance, updates and events outside our control may cause downtime. Where possible, we will give advance notice of planned maintenance.

13.2 For help, check our in-app guides first, then contact contact@hisabkitab.co or +91 72858 71111.

SECTION 14 - WARRANTIES AND DISCLAIMERS

14.1 We will provide the Service with reasonable skill and care.

14.2 Except as stated in these Terms, and to the extent the law allows, the Service is provided "as is". We do not promise that it will be uninterrupted, error-free or suitable for every business need, and we exclude all implied warranties, including merchantability and fitness for a particular purpose.

SECTION 15 - LIMITATION OF LIABILITY

15.1 To the extent the law allows, neither party is liable for any indirect or consequential loss, or for loss of profits, revenue, savings or goodwill.

15.2 Our total liability arising out of or in connection with these Terms, in any 12-month period, is limited to the Access Charges you paid us in the 12 months before the event giving rise to the claim.

15.3 Nothing in these Terms limits liability that cannot be limited by law.

SECTION 16 - SUSPENSION AND TERMINATION

16.1 By you. You may stop using the Service at any time. Refunds are governed only by section 7.

16.2 By us for breach. We may suspend or terminate your account if you materially breach these Terms and do not fix the breach within 30 days of our written notice. We may act immediately for a breach that cannot be fixed, or for serious misuse that puts the Service or other users at risk.

16.3 Non-payment. If an amount due is unpaid, we may suspend paid features after giving you notice.

16.4 Insolvency. Either party may terminate if the other becomes insolvent, enters liquidation or makes an arrangement with its creditors.

16.5 Effect of termination. On termination, your right to use the Service ends, any amounts already due remain payable, and section 10 applies to your Data.

16.6 Sections 9, 10, 11, 12, 14, 15, 17 and 18 continue after termination.

SECTION 17 - GOVERNING LAW AND DISPUTES

17.1 These Terms are governed by the laws of India.

17.2 If a dispute arises, please write to contact@hisabkitab.co first. We will try to resolve it within 30 days.

17.3 Any dispute not resolved that way will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Surat, Gujarat, and the arbitration will be conducted in English.

17.4 Subject to section 17.3, the courts at Surat, Gujarat have exclusive jurisdiction.

SECTION 18 - GENERAL

18.1 Entire agreement. These Terms, together with the policies listed in section 1.1, are the entire agreement between you and us about the Service.

18.2 Waiver. A failure or delay in enforcing any right is not a waiver of that right.

18.3 Force majeure. Neither party is liable for delays caused by events outside its reasonable control. This does not excuse payment obligations.

18.4 Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours to a group company or to a buyer of all or part of our business, and will tell you if we do.

18.5 Severability. If any part of these Terms is found invalid, the rest remains in force, and the invalid part will be replaced with a valid one as close as possible to its original intent.

18.6 Notices. We will send notices to the email address on your account. You can send notices to contact@hisabkitab.co. An email notice is received when it is sent, unless a delivery failure message is returned.

18.7 Third parties. No one other than you and us has any right to enforce these Terms.
